These Terms & Conditions (the "Terms") govern access to the Talent Journey platform (the "Platform") by Providers: companies that use our infrastructure to serve their own business and consumer clients.
You are a business user, not a consumer. If you buy relocation services from us as an end client, the Terms for Companies apply instead (or as well, if you have both roles).
"Order Form" means the order form, service agreement, or accepted quotation that sets commercial terms (including fees, volume, support level, and any white-label arrangement).
"Your Clients" means the companies and talents you invite onto the Platform.
The Data Processing Addendum ("DPA") attached to these Terms is part of them.
By creating a Provider account, clicking to accept, or signing an Order Form, you agree to these Terms and the DPA.
1. The Model
1.1 What we supply
We grant you access to the Platform so you can run your book: invite companies and talents, manage cases, exchange documents and messages, use the workflows we enable, and (where enabled) use Joya, our on-Platform AI assistant.
Joya is an AI assistant, not a member of your staff and not a substitute for your professional judgement. It does not decide visas, permits, or housing. You remain responsible to Your Clients for the services you sell. Joya does not make Talent Journey the provider of those services.
Unless the Order Form says otherwise, the Platform is presented under the Talent Journey brand. If the Order Form enables white-label, your Clients see the branding described there.
1.2 What you supply
You sell and deliver relocation, settle-in, or related professional services to Your Clients under your contracts. You set your prices, advice, and service levels. You run the book.
1.3 What we are not
We are not your employer, partner, joint venturer, or agent. We do not provide the underlying professional services to Your Clients. We do not supervise your advice, filings, housing work, or outcomes. We are not a law firm, tax adviser, or landlord.
Nothing in these Terms authorises either party to bind the other.
2. Licence
We grant you a non-exclusive, non-transferable, non-sublicensable (except to Your Clients as end users of the Platform), revocable licence, for the term, to use the Platform solely to serve Your Clients as intended.
You must not: reverse engineer the Platform (except as mandatory law allows); copy or resell the Platform as a competing product; remove notices; or use our name in a way that suggests we deliver your professional services, except as the branding rules in the Order Form allow.
We may provide reasonable documentation and updates. New features may be optional or subject to a new Order Form.
3. Your Book
3.1 Invitations
You may invite B2B and B2C clients onto the Platform. You must present your terms and privacy notice to them before or when they start receiving your services.
Your Clients must also accept our Terms for Companies or Terms for Talents (as applicable) and our Privacy Policy, which cover Platform use and make clear that, in a Provider-invited case, we are not the relocation provider.
3.2 Your responsibility
You are solely responsible for:
- The quality, lawfulness, and outcome of services you sell
- Obtaining a lawful basis to upload and process Your Clients' data
- Your staff's use of the Platform
- Invoicing Your Clients (see Section 5)
- Complaints, refunds, and consumer duties you owe Your Clients
- Any professional licences you need
3.3 No poaching of our Direct Clients
During the term and for twelve (12) months after, you will not use the Platform, or non-public information obtained through it, to solicit companies or talents that you first met as our Direct Clients, except Your Clients you brought yourself. This does not restrict dealing with parties you already served or that approach you independently.
We will not use non-public information about Your Clients to solicit them for Direct relocation services during the same period, except where they already were our Direct Clients or they approach us independently. The Order Form may add detail.
4. Acceptable Use and Security
You and your users must not: use the Platform unlawfully; upload malware; scrape except through provided exports; interfere with security; harass others; submit false identity data; or overload the service in a way that degrades it for others.
You will keep credentials confidential, apply appropriate access control among your staff, and notify us without delay of a suspected security incident involving your account.
We may suspend access immediately if we reasonably believe there is a security risk, illegal content, or a material breach, and we will give reasons and a way to complain (Section 11). Where the issue is not urgent, we will give reasonable prior notice.
5. Fees and Invoicing
5.1 What you pay us
You pay the Platform fees in the Order Form (subscription, usage, or other model as specified). Amounts are exclusive of VAT unless stated. AI features (including Joya) may be subject to usage limits set in the Order Form. We do not publish those limits here.
We do not publish list prices in these Terms. We do not invoice Your Clients unless the Order Form expressly says so. You invoice Your Clients for your services.
5.2 Invoices and due date
Unless the Order Form says otherwise, we invoice in advance for subscription periods and in arrears for usage, and payment is due thirty (30) days from the invoice date.
5.3 Late payment
We may charge statutory commercial interest and recovery costs under Portuguese late-payment rules, and/or interest at nine (9) percentage points above the applicable base rate per year from the due date. We may suspend the Platform if sums remain overdue after notice.
5.4 Changes to our fees
We may change fees on at least thirty (30) days' notice. A change does not alter a fixed price committed in an Order Form for its current committed period. If you reject a change that would apply after that period, you may terminate under Section 10 before it takes effect.
6. Data Protection
For personal data in Your Clients' cases that we host for you:
- You are the controller
- We are the processor
- The DPA (including its description of processing) applies
For Provider-staff accounts, billing, security logs, and our own marketing to you, we are the controller. See the Privacy Policy.
You warrant that you have informed data subjects as required and that your instructions to us are lawful. You will not submit special-category or criminal-record data except as needed for Your Clients' immigration or related procedures and on a lawful Article 9/10 basis.
You must respond to data-subject requests that concern your controllership. We will assist as set out in the DPA.
7. Data Access and Portability (P2B)
During the term, you may access, through the Platform, the case data, messages, and files your users stored, and account and invoice records we issue to you, subject to access rights you assign to your staff.
You may export available case data and files using the Platform's export tools, or by written request to support@talentjourney.tech. We will not unreasonably refuse a reasonable export request during the term or within thirty (30) days after termination.
We do not use Your Clients' case content to provide services to other Providers. Aggregated or anonymised statistics that cannot identify you or Your Clients may be used to operate and improve the Platform.
Ranking or default ordering of cases in your workspace, if any, is based on filters and dates you or your staff choose, not on paid placement among Providers. We do not currently operate a public ranking of Providers. If that changes, we will describe the main parameters in these Terms or a notice under Section 9.
We do not give a particular Provider access to another Provider's book.
8. Intellectual Property
We and our licensors own the Platform, software, and documentation. You own your pre-existing materials and your own templates. Your Clients own their documents as between you and them.
You grant us a licence to host and process content uploaded to the Platform as needed to provide the service and as the DPA describes.
Feedback you give us may be used to improve the Platform without obligation to you.
9. Changes to these Terms (P2B)
We may change these Terms where we improve the Platform, change how access is supplied, need to clarify rights, must meet the law, or for other objective reasons.
We will give at least thirty (30) days' notice by email or Platform notice before material changes take effect. If a change requires you to make technical or commercial adjustments that cannot reasonably be made in 30 days, the notice period will be longer as required by Regulation (EU) 2019/1150.
Notice will state the change and effective date. If you do not agree, you may terminate before the effective date. Continued use after that date is acceptance.
We will not impose retroactive changes except where needed to comply with law or as you expressly agree.
10. Term, Suspension, and Termination
10.1 Term
The relationship starts when you accept these Terms and lasts for the period in the Order Form, then as the Order Form provides (including any renewal). If there is no Order Form term, either party may end the relationship on sixty (60) days' written notice.
10.2 Termination for cause
Either party may terminate if the other commits a material breach and does not remedy it within fourteen (14) days of written notice.
We may terminate or suspend with immediate effect, giving a statement of reasons, if:
- You provide fraudulent information or use the Platform unlawfully
- Non-payment continues more than thirty (30) days after the due date
- Your use creates a serious security or legal risk
- Law or a competent authority requires us to stop
Where Regulation (EU) 2019/1150 applies, we will give the reasons on durable medium and respect any longer notice that regulation requires for termination without cause.
10.3 Effect on Your Clients
You remain fully responsible to Your Clients if access ends. We are not obliged to continue their access unless we agree in writing or must do so by law. We will, at your request and cost, reasonably cooperate on an orderly export (Section 7).
Case content is returned or deleted as the DPA provides.
Fees already earned remain payable. Prepaid unused subscription after a termination without your breach will be handled as the Order Form states, or if silent, refunded pro rata for whole unused months.
11. Complaints and Mediation (P2B)
If you have a complaint about these Terms, restriction, suspension, termination, or Platform performance, email support@talentjourney.tech with the subject "Provider complaint", your organisation name, and a description of the issue.
We will acknowledge within five (5) business days and aim to resolve within thirty (30) days (longer if complex, with an explanation). We will handle complaints in a timely, transparent, and non-discriminatory way.
If we cannot resolve the complaint, either party may propose mediation by a mediator established in the EU. Participation in mediation is without prejudice to court proceedings. We are willing to engage in good-faith mediation; we do not currently list a mandatory mediator. If we designate one, we will publish the name and contact here or on the website.
This Section does not apply to your disputes with Your Clients.
12. Differentiated Treatment
We may offer different plans, support levels, or white-label options as described in Order Forms. Those differences follow what you purchase, not covert ranking against other Providers.
We may use the Platform ourselves to serve Direct Clients. We do not use Your Clients' non-public case content for that purpose.
13. Confidentiality
Each party will keep the other's non-public business information confidential, including our fees to you, and use it only to perform these Terms. Exceptions: public information not due to breach; independent development; legal compulsion (with notice where lawful); and sharing with personnel and advisers bound by comparable duties.
These duties last two (2) years after termination (and longer for trade secrets while they remain secret).
You will not publish our price list or Order Form pricing.
14. Liability
We will provide the Platform with reasonable skill and care.
We are not liable for: Your Clients' visa, housing, or other outcomes; your advice or omissions; data you or Your Clients enter incorrectly; third-party networks; or force majeure (Section 16).
Our total liability under these Terms is limited to the fees you actually paid us in the twelve (12) months before the claim. We are not liable for lost profits, lost business, or other indirect or consequential loss.
Nothing excludes liability for intent, gross negligence, death or personal injury caused by us, fraud, or liability that cannot be limited by law.
You will indemnify us against claims by Your Clients or authorities arising from your services, your content, or your breach of law or these Terms, except to the extent caused by our proven breach of the DPA or these Terms.
15. Ancillary Services
Optional extras (for example extra storage, onboarding help, or white-label) are supplied only if listed on an Order Form. We do not require you to buy ancillary goods from a named third party as a condition of Platform access unless the Order Form states that clearly.
16. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including epidemics, natural disasters, war, government acts, utility failure, or widespread cloud-infrastructure failure.
If the event lasts more than thirty (30) days, either party may terminate on thirty (30) days' notice.
17. General
These Terms, the Order Form, the DPA, and the Privacy Policy (where we are controller) are the entire agreement for Platform access. They prevail over your purchase terms unless we sign those.
You may not assign without our consent. We may assign to an affiliate or successor.
No waiver unless in writing. If a provision is invalid, the rest remains.
These Terms are in English. If translated, English prevails except where mandatory law requires otherwise.
18. Notices
Legal notices must be in writing, by email or registered post, to support@talentjourney.tech and the email on your account, or to addresses on the Order Form.
Email is deemed received the next business day if not bounced. Registered post is deemed received seven (7) days after posting.
19. Governing Law and Courts
Portuguese law applies, excluding conflict-of-law rules and the CISG.
The courts of Ponte de Lima, Portugal have exclusive jurisdiction, as between businesses.
The parties will try in good faith to resolve disputes for thirty (30) days (and may use Section 11) before filing a claim, without limiting interim relief.
END OF PROVIDER TERMS
These Terms are effective as of 20 September 2026. The Data Processing Addendum forms Annex 1.
