1. Who These Terms Apply To
These Terms & Conditions (the "Terms") govern use of the Talent Journey platform (the "Platform") and, where applicable, relocation and settle-in services, by business customers.
"You" / "Client" means the company or other organisation that creates a company account, is named on an Order Form, or is invited onto the Platform as a client organisation.
"Talent" means a natural person you (or a Provider) wish to relocate or settle, including family members included in a case.
"Order Form" means a service agreement, order form, quotation accepted in writing, or similar commercial document between you and us, or between you and a Provider.
"Provider" means a business customer that uses the Platform as infrastructure to serve its own clients, under the Terms for Providers.
By creating an account, inviting Talents, clicking to accept these Terms, or signing an Order Form that incorporates them, you agree to be bound by these Terms.
These Terms are for business customers, not consumers.
2. Two Ways You May Use the Platform
2.1 Direct Client
You contract Talent Journey for relocation, settle-in, and/or Platform access. We provide the Services described in your Order Form. Part A and Part B of these Terms apply. Fees you pay us are set in the Order Form, not in these Terms.
2.2 Provider-invited Client
A Provider invited your organisation onto the Platform. You bought (or will buy) relocation or related services from that Provider, not from Talent Journey. We supply Platform access only. Part A and Part C of these Terms apply. Your commercial relationship, service quality, timelines, and fees for the underlying work are governed by your contract with the Provider.
If your account shows both relationships, the Direct Client rules apply to work you ordered from us, and the Provider-invited rules apply to work ordered from the Provider.
A change of our legal form does not affect these Terms.
For these Terms, "Client" includes your current parent companies, successors, predecessors, subsidiaries, and affiliated companies as defined in articles 481 to 508 of the Portuguese Commercial Companies Code, except where that would extend your payment or confidentiality duties beyond the contracting entity without a written guarantee.
Part A — Platform terms (all company users)
3. The Platform
3.1 Registration
You must register via the Platform. You confirm that:
- Registration information is true, accurate, and complete
- Your organisation has full legal capacity
- The person accepting these Terms has authority to bind the organisation
You will provide, as requested: legal name, fiscal ID (NIF/NIPC), registered address, and name and email of a responsible contact, and complete any further onboarding steps on the Platform.
3.2 Account security
You must keep usernames and passwords confidential and notify us immediately if you believe an account is compromised. You are responsible for activity under your organisation's accounts.
3.3 What the Platform is for
Company accounts may be used to invite Talents, submit case information, follow status, exchange messages and documents, generate reports the Platform makes available to your role, and (where enabled) use Joya, our on-Platform AI assistant.
Joya is an AI assistant, not a human adviser. It can suggest wording and next steps from information already on a case. It does not decide visas, permits, or housing and is not legal, tax, or immigration advice. Your organisation (or the Provider, if you are Provider-invited) remains responsible for the case.
AI features may be subject to usage limits stated in your Order Form.
We prefer the Platform as the channel for day-to-day case communication. We cannot guarantee timely handling of messages or documents sent only by email, phone, or other channels we did not ask you to use. Formal notices under Section 18 are not affected.
3.4 Availability
We will use reasonable efforts to keep the Platform available. We do not warrant uninterrupted or error-free operation. Planned maintenance will be notified where practicable.
3.5 Prohibited use
You agree not to:
- Use the Platform for unlawful purposes
- Submit false or misleading information
- Harass or harm our staff, Providers, Talents, or other users
- Upload malware
- Scrape, crawl, or extract data except through features we provide to you
- Probe or interfere with security
- Transfer accounts except as we permit in writing
- Use the Platform to build a competing product
4. Talents on the Platform
4.1 Invitations
Before a case can run, the Talent (and family members who need accounts) must be invited and must accept the Talent Terms and Privacy Policy.
4.2 Authority to share data
By submitting Talent data, you confirm that you have a lawful basis and have provided required information to the Talent, so that the data may be processed for the case as described in the Privacy Policy.
4.3 Direct communication with Talents
You authorise us (and, if you are Provider-invited, the Provider) to contact Talents through the Platform as needed to operate the case.
4.4 Information is case-specific
Guidance shown on the Platform applies to the named Talent and case. You must not treat it as general legal, tax, or immigration advice for other people or later years without a fresh assessment.
5. Intellectual Property
"Intellectual Property" means patents, rights to inventions, trade marks, designs, copyright, database rights, and rights in confidential information, whether registered or not.
Each party keeps its pre-existing Intellectual Property.
We and our licensors own the Platform, software, templates, and know-how. We grant you a non-exclusive, non-transferable, revocable licence to use the Platform during the term, solely to receive the access or Services you are entitled to.
You must not reverse engineer the Platform (except to the extent mandatory law allows), remove notices, or create derivative works of the Platform.
Content you or your Talents upload remains yours or theirs, as applicable. You grant us a licence to host, copy, and display it as needed to operate the Platform and (for Direct Clients) to perform the Services.
6. Confidentiality
"Confidential Information" means non-public business information relating to either party, including plans, software, customer lists, and pricing, disclosed in connection with these Terms.
The receiving party will use that information only to perform these Terms and will not disclose it except to personnel and advisers who need it and are bound by comparable duties. The receiving party remains responsible for them.
Confidential Information does not include information that is public other than by breach, already in the receiver's possession, independently developed, or received from a third party free to disclose it.
Disclosure is allowed if required by law, with prior notice where legally permitted.
On request or when the relationship ends, tangible confidential materials will be returned or deleted, except one copy kept in legal files as required.
These duties last for two (2) years after the relationship ends (and indefinitely for trade secrets for as long as they remain trade secrets).
7. Data Protection (company users)
Each party will comply with applicable data protection law.
Roles are set out in the Privacy Policy. In short:
- For Direct Clients, you and we act as independent controllers for Talent data in our respective spheres (you as employer or sponsor; we as provider of the contracted Services).
- For Provider-invited Clients, the Provider is controller of case content; we are processor for that content; we are controller of Platform-account and security data.
You will not instruct us to process data in a way that would breach the GDPR.
We will notify you without undue delay, and in any event within 72 hours of becoming aware, of a personal data breach affecting Talent data we process in connection with your account, unless a processor notice to your Provider is the correct channel (Provider-invited cases).
Security measures are described at a general level in the Privacy Policy. Further detail is available on reasonable request.
8. Liability (Platform)
8.1 What this Section covers
This Section 8 applies to Platform access for all company users. Part B adds rules for Direct Services. Part C makes clear we are not liable for the Provider's work.
8.2 Standard of care
We will use reasonable skill and care. The Platform and related materials are provided on a commercially reasonable-efforts basis.
8.3 Exclusions
To the fullest extent permitted by law, we are not liable for:
- Inaccurate or incomplete information supplied by you, a Talent, a Provider, or a third party
- Failure by you, a Talent, a Provider, or a third party to act when required
- Decisions of authorities, embassies, landlords, banks, or other third parties
- Housing-market conditions
- Changes in law or government systems
- Force majeure (Section 19)
8.4 Cap
Our total liability arising out of Platform access under these Terms is limited to the fees you actually paid to Talent Journey for Platform access in the twelve (12) months before the claim (or, if none, one hundred euro). This cap is per event or series of related events.
8.5 Indirect loss
We are not liable for lost profits, lost business, reputational harm, substitute-service costs, or other indirect or consequential loss, except as Section 8.6 requires.
8.6 What we do not exclude
Nothing in these Terms excludes or limits liability for intent, gross negligence, death or personal injury caused by us, fraud, or any liability that cannot be limited under Portuguese law. Confidentiality and data-protection duties remain subject to those mandatory rules.
8.7 Your indemnity
You will indemnify us against claims, damages, and reasonable costs arising from: your breach of these Terms or law; failure to have a lawful basis to share Talent data; inaccurate information you supply; or claims by your Talents arising from your acts or omissions (and not from our proven breach).
9. Term, Suspension, and Termination (Platform)
Your Platform access lasts for the period in the Order Form, or, if none, until we or you end it under these Terms.
We may suspend access on reasonable notice (or immediately if urgent) if you breach these Terms, fail to pay us when due, create a security risk, or if we are required to by law.
Either party may terminate Platform access for convenience on sixty (60) days' written notice, unless an Order Form sets a different committed term.
Either party may terminate if the other commits a material breach and does not remedy it within fourteen (14) days of written notice.
We may terminate immediately if you provide fraudulent information, are not eligible to use the Platform, or amounts you owe us remain overdue more than thirty (30) days.
After termination we may close the account. We retain data as described in the Privacy Policy. Provisions that by nature should survive (including confidentiality, IP, liability, indemnity, and unpaid fees) survive.
Part B — Direct Clients only
10. Direct Services
10.1 Scope
The Services we provide to you are those specified in your Order Form. They may include, as agreed:
- Immigration and relocation support (visas, permits, tax and social-security registration, banking and housing coordination)
- Home-search assistance
- Administrative support during relocation
- Software access for relocation administration for an agreed number of users
We will use reasonable efforts so that delivery does not materially differ from the agreed scope, subject to government rules, third-party availability, and Talent cooperation.
10.2 What we are not
We are not a law firm, tax adviser, or accounting practice. We do not give legal, tax, or accounting advice. If specialised professional services are required, we may introduce qualified third parties. Their fees are yours unless the Order Form says otherwise. Our role is coordination and administrative support.
10.3 Third-party dependencies
We coordinate with authorities (including AIMA, embassies, and visa centres), landlords, and other organisations. We cannot control their timescales, decisions, or systems. Timelines we give are estimates.
Home-search assistance does not guarantee that a property will be found or a lease signed. Outcome depends on the market, landlords, and the Talent's profile and funds. Unless the Order Form says otherwise, failure to secure housing is not a ground for refund of a package that included home search.
10.4 Initial relocation
Unless the Order Form says otherwise, packages cover initial relocation work only, not later renewals, employer changes, extra relocations, or work requested long after the original case ends. Those items are quoted separately if you ask.
10.5 Talent cooperation
You will ensure Talents cooperate: prompt replies, attendance at appointments, accurate documents, and following instructions. We are not responsible for delay or failure caused by Talent non-cooperation.
10.6 Results
Visa, permit, housing, banking, and similar outcomes may sit with third parties. We will use reasonable efforts to achieve a good result without unnecessary delay.
11. Fees (Direct Clients)
11.1 Prices
You pay the fees in your Order Form. Prices are exclusive of VAT unless stated. We may charge for a journey (a bundle) or for individual services, as the Order Form describes. Any limits on AI or Platform usage are also in the Order Form, not in these Terms.
11.2 Invoicing and due date
Unless the Order Form says otherwise, we invoice when the package or service is determined, and payment is due thirty (30) days from the invoice date. You will keep a monitored billing email.
11.3 Late payment
We may charge statutory commercial interest and, where applicable, the recovery lump sum under Portuguese late-payment rules, and/or interest at nine (9) percentage points above the applicable base rate per year from the due date. We may pause Services if invoices are overdue.
11.4 Cancellation and credits
If you cancel Direct Services, any credit, refund, or fee for work already done is as set in the Order Form. If the Order Form is silent, you pay for work already performed and third-party costs already committed; prepaid amounts for work not yet started are discussed in good faith. Credits, if offered, are for future services with us and are not cash unless the Order Form or mandatory law says otherwise.
11.5 Third-party costs
Government fees, translations, apostilles, couriers, notaries, deposits, and similar costs are paid by you or the Talent directly, unless the Order Form says we will collect them. We will tell you through the Platform before optional third-party costs are incurred where we reasonably can. We do not advance those costs.
11.6 Referral fees
We may receive commissions or referral fees from third parties (for example housing or insurance partners) in connection with services used by your Talents. This does not increase the fee you pay us unless the Order Form says so.
11.7 Fee changes
We may change list fees on at least thirty (30) days' notice. Changes do not affect Services already ordered at a fixed price. If you do not agree to a change that would apply to future orders, you may terminate on notice as Section 9. Continued ordering after the effective date is acceptance.
12. Non-circumvention (Direct Clients)
During the Order Form term and for twelve (12) months after it ends, you will not, without our prior written consent, directly engage a third party we introduced to you to perform services similar to those we provide, if you learned of that party through the Services.
This does not stop you using a party you already knew, or that you find independently through public channels without using our introductions.
13. Publicity (Direct Clients)
We will not use your name or logo in marketing without your prior written approval. You may withdraw approval prospectively. Any advocacy or case-study participation is optional and, if agreed, will be documented in writing.
Part C — Provider-invited Clients only
14. Our Limited Role
If you were invited by a Provider:
- Talent Journey supplies the Platform
- The Provider supplies the relocation or other professional services
- We are not a party to your contract with the Provider
- We do not supervise, guarantee, or underwrite the Provider's advice, filings, housing work, or outcomes
- Complaints about the quality or result of that work must be directed to the Provider
- Fees for that work are billed by the Provider, not by us, unless a document clearly says otherwise
You remain responsible for lawful use of the Platform by your staff and for the accuracy of data you upload.
If we are named as processor of case content, the Provider's Data Processing Addendum with us applies. You should obtain from the Provider the information the GDPR requires them to give you as their customer.
Part D — General
15. Changes to these Terms
We may change these Terms where we improve the Platform, change the Services, need to clarify rights, or must meet the law, or for other objective reasons.
We will give at least thirty (30) days' notice by email or Platform notice. If you do not agree, you may terminate before the effective date. Continued use after that date is acceptance. Changes do not alter a fixed-price Order Form already signed, except as that Order Form allows.
16. Entire agreement and amendments
These Terms plus the applicable Order Form and Privacy Policy are the entire agreement for the subject matter. Other pre-contract statements are excluded to the extent permitted by law.
Except for our right to update these Terms under Section 15, changes must be in writing (including electronic signature or recorded click-accept).
17. Other boilerplate
No waiver is effective unless in writing. If a provision is invalid, the rest remains in force and the invalid part is modified to the minimum extent needed.
You may not assign these Terms without our consent. We may assign to an affiliate or successor.
Nothing here creates a partnership, joint venture, agency, or employment relationship.
Until an Order Form is signed by both sides, any proposal is an offer only, except that use of the Platform is already governed by these Terms.
These Terms are in English. If translated, English prevails, except where mandatory law requires otherwise.
18. Notices
Notices under these Terms must be in writing and sent by email or registered post to the addresses on the Order Form or, if none, to support@talentjourney.tech and the email on your account.
Email is deemed received on confirmation of receipt or, if none, on the next business day after sending without bounce-back. Registered post is deemed received seven (7) days after posting.
Each party will name a contact person. You may update yours in the Platform or by notice.
19. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including epidemics, natural disasters, war, terrorism, strikes (other than the affected party's own staff), government acts, utility or telecommunications failure, and failure of government immigration systems.
The affected party will notify the other promptly. If the event lasts more than thirty (30) days, either party may terminate on thirty (30) days' notice. You will pay for Direct Services already performed; prepaid fees for work not started will be handled as in Section 11.4.
20. Governing law and courts
These Terms are governed by Portuguese law, excluding conflict-of-law rules and the CISG.
The courts of Ponte de Lima, Portugal have exclusive jurisdiction over disputes, as between businesses.
Before filing a claim, the parties will try in good faith to resolve the dispute for thirty (30) days.
END OF CLIENT COMPANY TERMS
These Terms are effective as of 20 September 2026. By creating an account, inviting Talents, or signing an Order Form, you acknowledge that you have read, understood, and agreed to them.
